Terms of service

These Terms of Service ("Terms") govern your access to and use of the Famebase Store at famebase.co and any products purchased through it. The Store is operated by MBC Group LTD, a company registered in Cyprus (HE [HE REGISTRATION NUMBER]), Kalymnou 1, Q Merito, 4th Floor, Agios Nikolaos, Cyprus ("Famebase", "we", "us"). By accessing the Store or placing an order, you agree to these Terms.

1. Eligibility. You must be at least 18 years old and have the legal capacity to enter into a binding contract. Some products are adult-oriented creative and influencer-design materials intended for an adult audience and professional use; by purchasing, you confirm you are 18 or older.

2. Nature of the products. The Store sells digital products and AI-generated design deliverables, including AI model and persona designs, image and content assets, and related digital materials (each a "Product"). Products are delivered electronically. No physical goods are shipped.

3. Orders and pricing. All prices are listed in the currency shown at checkout and are subject to applicable taxes (including Cyprus VAT where it applies). We may correct pricing errors and decline or cancel any order. A binding contract forms when we confirm and begin fulfilment of your order.

4. Intellectual property and license grant. This is the core of the bargain: you are paying for a license to use a design deliverable; you are not acquiring ownership of our intellectual property or technology.

• Our IP. All intellectual property in and underlying the Products and the Store — including the AI models, generation pipelines, software, prompts, methods, brand architecture, trademarks, the "Famebase" name and marks, the design system, and any know-how — is and remains the exclusive property of MBC Group LTD and its licensors. Purchasing a Product does not transfer any of this to you.
• What you receive. Upon full payment, we grant you a exclusive, worldwide, perpetual license to use the specific design deliverable you purchased ("Deliverable") for your own commercial and creative purposes, subject to the restrictions in §5.
• What you do not receive. You do not receive any rights in the underlying models, the generation technology, the training data or methods, our brand or trademarks, or any Deliverable other than the one you purchased.

5. Restrictions. You shall not, and shall not permit any third party to:

• reverse engineer, decompile, or attempt to derive the underlying models, prompts, methods, or source assets;
• remove or alter any proprietary notices;
  
• use the Deliverable or the Store for any unlawful purpose, including the creation or distribution of content that is illegal in your jurisdiction or in Cyprus, content involving minors, non-consensual content, defamation, or infringement of third-party rights.

Breach of this section terminates all licenses granted, immediately and without refund.

6. Acceptable use of the Store. You agree not to interfere with the Store's operation, attempt unauthorised access, scrape or harvest data, or use bots to place orders.

7. Disclaimers. Products are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs may contain imperfections; the subjective suitability of a design for your purposes is your responsibility to assess. Nothing in these Terms excludes statutory consumer rights that cannot be excluded under applicable law.

8. Limitation of liability. To the maximum extent permitted by law, MBC Group LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to a Product or these Terms shall not exceed the amount you paid for the Product giving rise to the claim.

9. Indemnification. You agree to indemnify and hold harmless MBC Group LTD, its directors, and personnel from any claims, losses, or expenses (including reasonable legal fees) arising out of your use of a Deliverable or the Store, your breach of these Terms, or your violation of any law or third-party right.

10. Termination. We may suspend or terminate your access and revoke licenses for breach of these Terms. Sections relating to IP, restrictions, disclaimers, limitation of liability, indemnification, and governing law survive termination.

11. Changes. We may update these Terms; continued use after changes constitutes acceptance. Orders are governed by the Terms in force at the time of purchase.

12. Governing law and jurisdiction. These Terms are governed by the laws of the Republic of Cyprus. Subject to Section 13 below, the courts of Cyprus shall have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights available to you in your country of residence within the EU.

13. Dispute resolution and arbitration (United States customers). This Section 13 applies only to customers who are residents of the United States and, to the extent permitted by law, supersedes Section 12 for those customers. Please read it carefully — it affects your legal rights, including by requiring arbitration of disputes on an individual basis and waiving your right to a jury trial and to participate in a class action.

• Informal resolution first. Before commencing arbitration, you agree to first contact us at support@famebase.co with a written description of your dispute and to attempt in good faith to resolve it informally for at least 30 days.
• Binding arbitration. If the dispute is not resolved, you and MBC Group LTD agree that any dispute, claim, or controversy arising out of or relating to these Terms or any Product (a "Dispute") shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court. The arbitration may be conducted by telephone, online, or based on written submissions, at your election.
• Class action and jury waiver. You and MBC Group LTD agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding. You and MBC Group LTD waive any right to a jury trial.
• Exceptions. Either party may (i) bring an individual claim in a small-claims court of competent jurisdiction, and (ii) seek injunctive or other equitable relief in court to protect intellectual property or confidential information. These exceptions are not subject to the arbitration requirement.
• 30-day opt-out. You may opt out of this arbitration agreement by emailing support@famebase.co within 30 days of your first acceptance of these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms; if you opt out, Section 12 governs your disputes.
• Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim shall be severed and decided in court, while the remaining claims proceed in arbitration. If any other part of this Section 13 is found unenforceable, the remainder shall remain in effect.
